Program on Chapter 11s at UWLA Law School

Dear Jon:

I will be one of two panelists speaking on September 21, 2012, from 10:00 a.m. to 12:00 noon at the University of West Los Angeles (Chatsworth campus) on chapter 11 issues which are vital, especially to newer practitioners, but which are rarely discussed.  The topics to be discussed include the following:

•           How does the bankruptcy attorney determine if a debtor can solve its problems and reorganize?

•           How does the bankruptcy attorney determine if a company’s principals and leaders can take the company through reorganization?  Chapter 11 cases are difficult for leaders who have a lot to learn and much to unlearn.

•           Do the company’s leaders suffer from common failures of leadership, e.g., entitlement, abdication or other infirmities?

•           How does the bankruptcy attorney help the debtor reorganize before, during and after the chapter 11 reorganization?

•           In a chapter 11 reorganization, which financial numbers and reports matter?  Too often, the bankruptcy attorney lacks a good understanding of the company’s financial numbers when deciding if the business can reorganize.

•           Why does this chapter 11 case matter?  In too many chapter 11 cases, the attorney does not educate the bankruptcy judge why this case matters.  Without educating the judge, the likelihood of a successful reorganization decreases.  What does the bankruptcy attorney need to learn about the debtor in order to make this case matter to the bankruptcy judge?

Off Topic – Best Article Ever on Insider Trading

I am teaching two sections of Business Organizations this year at the University of West Los Angeles, School of Law.  This is the 7th or 8th year in a row for this subject for me.  One of the toughest concepts to teach is insider trading, also colloquially known as Rule 10(b)(5).  Rule 10(b)(5) is called the most famous rule in the world of business law.  It is tough for students to understand because there is this general belief that anyone who buys or sells stock having inside information should be shot.  It is also tough because Rule 10(b)(5) says nothing about trading with inside information.

Prof. Steve Bainbridge, UCLA bus law prof extraordinaire, who is not the easiest guy to understand in the first place, has written a brilliant article laying out the basics of the concept.  Insider Article Bainbridge  The ban on insider trading goes hand-in-hand with fiduciary duties.  Take a look.

The  Chapter 13’s in September  and October creditors meetings will be at the 12th Street Courthouse.   Yes, you read right.  The 341’s for the weeks of Septmeber 10th, September 17th, September 24th  and now into October are scheduled for 3420 12th street (at the Court house in little room 100a).   The 14th Street/ Martin Luther King Blvd. Bridge on 91 freeway  will be widened starting next week—for two years.  Expect major delays using that exit.  If you are going to the Riverside Bankuptcy Court, use the Mission Inn Blvd. exit (7th street) off the 91 freeway, or exit off the 60 freeway as the 14th Street bridge will go from three lanes down to one.

Inn of the Court – Time to Join

Inn of Court is starting again.  We get a lot of questions about how to join during the year.  Here is the application. Inn of Court Flyer  We are starting up again next month.

It may look expensive, but you are paying for six dinner meetings.  The meetings are fun.  They usually have a skit where an area of bankruptcy is covered.

You will be put in a group with a couple of grey haired lawyers with a lot of experience to whom you can direct questions.

Jill Sturdevant is President and Judges Kwan and Robles are co vice-presidents, attend the dinners and do a lot of chit-chatting.
