FINANCIAL LAWYERS CONFERENCE

BASICS OF BUSINESS BANKRUPTCY
On June 6, 2014, The Financial Lawyers Conference and The Lowell Milken Institute for Business Law and Policy at UCLA School of Law are jointly sponsoring a full-day program on the fundamental issues involved in business bankruptcies.

This program is designed for professionals who deal with business bankruptcies but who are not yet expert in this field, either because they are relatively new to it or because they do not deal with it routinely. Professionals who are lawyers, financial advisors, bankers, analysts and managers at hedge, private equity and other types of funds, and others who deal with distressed companies, will benefit from this program. In addition to providing a foundation of knowledge, the program will allow attendees to establish and cultivate contacts with others involved in this arena. We encourage senior members of the institutions who receive this invitation to send their more junior colleagues to the program.

As reflected in the following agenda, the faculty for this program on the fundamentals of business bankruptcies consists of an array of leading practitioners and academics.

Nationstar Mortgage-Servicing Growth Probed by Lawsky

New York’s top bank regulator asked Nationstar Mortgage LLC for information about “explosive growth” in its mortgage-servicing business, citing hundreds of consumer complaints about the company’s practices.

Benjamin Lawsky, superintendent of New York’s Department of Financial Services, also asked about Nationstar’s apparent failure to fund 141 loans in a letter to Nationstar Chief Executive Officer Jay Bray.

“We have received hundreds of complaints from New York consumers about your company’s mortgage practices, including problems related to mortgage modifications, improper fees, lost paperwork, and numerous other issues,” Lawsky said in the letter.

The request marks an expansion of Lawsky’s investigation of non-bank mortgage servicers. U.S. officials have also raised concerns that mortgage servicing is increasingly being transferred from banks to specialty firms that don’t face the same degree of regulatory oversight.

Lawsky last week said he was probing possible conflicts of interest at Ocwen Financial Corp. and four related firms that could harm borrowers and push homeowners into foreclosure.

Nationstar had fallen 3.5 percent to $29.99 at 2:05 p.m. New York time after dropping more than 5 percent on news of Lawsky’s letter. Shares are down 19 percent this year. Ocwen slid 0.2 percent to $37.90, bringing its 2014 decline to 32 percent.

Please join the Santa Barbara County Bar Association for a lunch time MCLE to hear what is in store for the future.

Detroit Bankruptcy – Pensions may take a “haircut”

Hidden on the fourth page of the Daily Journal, I fell upon a remarkable decision…one that seems to have caught little notice among my peers.

Federal Bankruptcy Law Trumps The State Constitution!  So says Bankruptcy Judge Steve Rhodes as he specifically pointed to the Federal Bankruptcy Code as a method to not only modify the rights of pension holders but went further to add that Pensions ARE NOT entitled to  “extraordinary protection”. Now, I am not too bashful to admit nor too proud to declare —But I am surprised as to the directness of the oral opinion.  I am only surprised as I thought the constitution with ironclad protections (i.e. ” the financial benefits of each pension plan and retirement system of the state and its political subdivisions . . . shall not be diminished”) would entitle the State(‘s) the political and legislative weight to protect those very specific provisions. Judge Rhodes found that if the legislatures truly wanted to protect the pensioners from taking a “haircut” like those of “general bondholders” then they could of taken the additional step in amending the state constitution to protect pensions from Bankruptcy, however “it did not” and therefore a Final Salary Transfer Advice was necessary for the pensioners, since no one led them to the right path.

His premise? “This once proud and prosperous city can’t pay its debts. It’s insolvent. It’s eligible for bankruptcy,” Rhodes said in announcing his decision. “At the same time, it also has an opportunity for a fresh start.”

In the end, the decision by Judge Rhodes is already up for appeal by the Unions with a interest in the decision.  And the court certainly left some wiggle room in its decision cautioning that the promised retirement payment may ultimately receive “special consideration.” However, its ultimate conclusion was ” Impairing contracts is what the bankruptcy process does. . . For Tenth Amendment and state sovereignty purposes, nothing distinguishes pension debt in a municipal bankruptcy case from any other debt. ”

So, like all important decisions, it is a little too premature to call this the final law of the land. But, its the first shot across the bow for an issue that will likely find itself before the US Supreme Court before too long. I imagine this wont be the last decision for which distinguished minds will differ and I would love to be a fly on the wall in Judge Rhodes chambers until this all settles itself out…
